Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Strata Labs ("we," "our," or "the Company"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Strata Labs provides software development, consulting, and technology solutions including but not limited to:

• Custom software development
• Cloud architecture and migration services
• Mobile application development
• E-commerce platform development
• MVP development for startups
• Digital transformation consulting
• API development and integration
• DevOps and automation services

3. Project Engagement

All project engagements will be governed by separate project agreements or statements of work that will detail:

• Project scope and deliverables
• Timeline and milestones
• Payment terms and schedules
• Intellectual property rights
• Confidentiality provisions

4. Intellectual Property Rights

Unless otherwise specified in a project agreement:

• All custom code and deliverables created specifically for the client become the client's property upon full payment
• Strata Labs retains the right to use general methodologies, concepts, and know-how developed during the engagement
• Any pre-existing intellectual property remains with its original owner
• Open-source components are subject to their respective licenses

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received during the course of the business relationship. This obligation shall survive the termination of any project or service agreement.

6. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur interest charges
• Work may be suspended for overdue accounts
• Disputed charges must be reported within 10 days of invoice receipt

7. Warranties and Disclaimers

Strata Labs warrants that all services will be performed in a professional and workmanlike manner. Beyond this, services are provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of Liability

In no event shall Strata Labs be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from the use of or inability to use our services.

Our maximum liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Strata Labs and its employees from any claims, damages, or expenses, including attorney's fees, arising from your use of our services or violation of these terms.

10. Termination

Either party may terminate services with written notice as specified in the project agreement. Upon termination:

• All outstanding payments become immediately due
• Each party shall return or destroy confidential information
• Strata Labs will provide all completed work and work in progress

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Trinidad and Tobago, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms.
